General Terms and Conditions of Sale, Supply and Services

  1. Definitions
    In these Terms:
    “Company” means Natural Environmental Engineering Ltd trading as Natural Engineering.
    “Customer” means the purchaser of Goods or Services.
    “Goods” include machinery, spare parts, equipment and fabricated items.
    “Services” include engineering labour, maintenance, breakdown support, installation, commissioning, inspection, refurbishment,
    training and consultancy.
    “Agreement” means the quotation, purchase order, order acknowledgement and these Terms.
  2. Basis of Contract
    These Terms apply to every quotation, order and agreement unless otherwise agreed in writing. Acceptance of a quotation, issue of a
    purchase order, payment of a deposit or acceptance of delivery constitutes acceptance of these Terms. Customer terms are excluded
    unless expressly accepted in writing.
  3. Quotations
    Quotations are valid only for 14 days unless otherwise stated. Prices are subject to supplier increases, exchange rate fluctuations or
    specification changes before order acceptance. Technical literature, weights, dimensions and performance figures are approximate
    unless expressly guaranteed.
  4. Orders and Variations
    Orders become binding only when acknowledged in writing and the full deposit have been received. Variations requested after
    acceptance may affect price and delivery.
  5. Customer Responsibilities
    The Customer shall provide safe access, lifting equipment, utilities, permits, competent personnel and suitable working conditions.
    Delays caused by the Customer may be chargeable.
  6. Prices and Payment
    Prices exclude VAT unless stated.
    Machinery: 40% deposit and 60% before dispatch unless agreed otherwise.
    Spare and wear parts are payable before dispatch unless credit terms apply.
    Service work is payable within 30 days net.
    Late payment attracts interest at 8% above the Bank of England base rate together with debt recovery costs.
  7. Credit Accounts
    Credit facilities may be withdrawn at any time. The Company may suspend deliveries, services and warranty support while invoices
    remain overdue.
  8. Retention of Title
    Legal title remains with the Company until all monies due have been paid in full. The Company may recover unpaid goods from the
    Customer’s premises.
  9. Delivery
    Delivery dates are approximate and may vary depending on factory schedules, transport, customs, or unforeseen events. Natural
    Engineering accepts no liability for delays beyond its reasonable control. Partial deliveries are permitted where practical. Transport
    insurance can be arranged at the customer’s request and cost.
  10. Risk
    Risk passes upon collection, dispatch or delivery, whichever occurs first.
  11. Installation and Commissioning
    Only work expressly included within the quotation forms part of the contract. Civil works, electrical infrastructure, cranes, MEWPs and
    specialist lifting are excluded unless stated.
  12. Engineering Services
    Engineering services are charged in accordance with the quotation. Waiting time, travel, accommodation, parking, tolls and site delays
    are chargeable where applicable.
  13. Maintenance and Breakdown
    Response times are targets only. Emergency attendance is subject to engineer availability. Additional work and replacement parts are
    chargeable.
  14. Service Contracts
    Service contracts include only the scheduled visits and inspections identified within the agreement. Consumables, wear parts and
    repairs are excluded unless expressly included.
  15. Spare Parts
    Availability is subject to supplier stock. Equivalent replacement parts may be supplied where appropriate. Incorrectly ordered or
    specially manufactured items may not be returnable.
  16. Machinery Sales
    The Customer is responsible for verifying equipment suitability, foundations, utilities, guarding and statutory compliance.
  17. Inspection and Acceptance
    Goods are deemed accepted unless defects are notified promptly in writing. Operation of machinery after commissioning constitutes
    acceptance unless otherwise agreed.
  18. Warranty
    Unless otherwise agreed, machinery carries an 18 month or 2,000 operating hour warranty, whichever occurs first. Spare parts carry a
    12 month warranty from delivery. Warranty excludes wear parts, consumables, misuse, contamination, poor maintenance, accidental
    damage, unauthorised repairs and normal wear. Warranty work will normally be performed at the premises of Natural Engineering, at
    Natural Engineering’s discretion. Travel, accommodation, and transport costs are excluded unless agreed otherwise. If the customer
    requests that warranty work is carried out at their site, all associated transport, travel, accommodation and subsistence costs will be
    chargeable to the customer.
  19. Warranty Procedure
    Warranty claims must be submitted in writing with photographs, serial numbers and supporting information. The Company may inspect
    goods before accepting liability.
  20. Returns
    Returns are subject to prior written agreement. Returned goods must be unused, in original packaging, and accompanied by a returns
    authorisation. Handling or restocking charges may apply.
  21. Cancellation
    Cancelled service visits with less than 48 hours’ notice may be charged. Machinery orders cannot normally be cancelled once
    manufacture has commenced.
  22. Health and Safety
    The Customer must provide a safe workplace. Engineers may stop work immediately where unsafe conditions exist while chargeable
    time continues.
  23. Intellectual Property
    Drawings, software, PLC programs, technical documents and designs remain the Company’s intellectual property unless expressly
    assigned.
  24. Confidentiality and Data
    Both parties shall keep confidential information secure and comply with applicable UK data protection legislation.
  25. Limitation of Liability
    The Company shall not be liable for indirect or consequential losses including loss of profit, production, revenue, contracts, goodwill,
    environmental penalties or downtime. Liability is limited to repair, replacement or refund and shall not exceed the value of the relevant
    contract except where prohibited by law.
  26. Force Majeure
    The Company shall not be liable for delays caused by events beyond its reasonable control including supplier shortages, customs
    delays, strikes, transport disruption, war, terrorism, pandemics, natural disasters and government restrictions.
  27. Suspension and Termination
    The Company may suspend work or terminate agreements where payment terms or contractual obligations are breached.
  28. Notices
    Formal notices must be made in writing.
  29. Governing Law
    These Terms are governed by the laws of England and Wales and disputes shall be subject to the exclusive jurisdiction of the English
    and Welsh courts.
